Hamilton Beither was founded in 190four and is based in Glen Allen, Virginia. Compabig Apple, its subsidiaries, designs, markets and distributes small specialized appliances and family appliances. Apple sells its products through a network of branch stores, online retailers, national branches, pharmacy and variety chains, retailers, sellers and other outlets.
As a holding company, Hamilton Beither one operates primarily through its subsidiaries, which are located inside and outside the country, adding to Mexico. According to the company’s most recent annual report on Form 10-K, Hamilton Beither one has two Mexican subsidiaries: Grupo HB / PS S.A. de C.V. and Hamilton Beither one Brands of Mexico S.A. de C.V.
The lawsuit alleges that they all circulated the period of elegance action, the defendants did falsely and/or deceptively, and argued about revealing adverse facts about curtains about Hamilton Beither’s operations, operations and prospects. Specifically, the defendants did not disclose to investors that: (i) Hamilton Beither had sufficient controls and procedures disclosed and internal control of economic information, i.e. with respect to one of its Mexican subsidiaries; (ii) therefore, the compabig apple’s accounts included binding irregularities regarding the timing of the accounting of sales and marketing expenses and the elegance of the consolidated expenses in the outcome of this Mexican subsidiary, in addition to unimaginable misconduct regarding the realization of the consolidated assets of the Mexican subsidiary; (iii) because of all of the above, Hamilton Beither cannot simply either, as he prefers to certify his economic results, that is, with respect to those parameters, and was therefore at greater threat of delaying the submission of his periodic reports to the SEC; and (iv) therefore, the public of the Compabig apple was extremely false and misleading at the time applicable.
On May 11, 2020, during the pre-marketing hours, Hamilton Beither one announced that it will not record its 1Q20 10-Q in a timely manner due to “related accounting irregularities over the timing of sales accounting and marketing expenses and the classification of consolidated expenses in the outcome of its Mexican subsidiary”. Hamilton Beither further stated that his “audit review committee had opened an internal investigation” into “the realization of the consolidated assets of the Mexican subsidiary”.
